1. Definitions and Interpretation

1.1 In these Official Rules (the "Rules"), the following terms shall have the meanings set out below:

  • "Promotion" means the Gift Your Summer Bestie giveaway described in these Rules.
  • "Promoter" means KAT MACONIE TRADING L.L.C S.O.C, trading as Kat Maconie.
  • "Entrant" means any individual who submits, or attempts to submit, an entry into the Promotion.
  • "Entry" means a submission made in accordance with clause 4 (Promotion Period and Method of Entry).
  • "Bonus Entry" means an additional entry earned in accordance with clause 5.
  • "Prize" means the item described in clause 6.
  • "Draw" means the weighted random prize draw described in clause 7.
  • "Winner" means an Entrant selected in the Draw and confirmed as eligible in accordance with clause 8.

1.2 Headings are for convenience only and shall not affect the interpretation of these Rules.

1.3 By submitting an Entry, an Entrant is deemed to have read, understood and agreed to be bound by these Rules in their entirety.

2. Nature and Scope of the Promotion

2.1 The Promotion is a free prize draw conducted by the Promoter to mark the launch of the Sola flip-flop collection. No purchase, payment or consideration of any kind is required to enter or to win.

2.2 Winners shall be determined solely by the weighted random Draw described in clause 7. The Promotion is a game of chance and is not, and shall not be construed as, a contest of skill.

2.3 The Promotion is administered exclusively by the Promoter. It is not sponsored, endorsed, administered by, or in any way associated with Instagram or Meta Platforms, Inc. Clause 10 shall apply.

3. Eligibility

3.1 The Promotion is open to natural persons who are legal residents of the United Kingdom, the United States, Australia or the United Arab Emirates and who hold a genuine, publicly accessible Instagram account, subject to clause 3.2.

3.2 An Entrant must be aged 18 years or over at the date of entry.

3.3 Employees, contractors, officers and immediate family members (spouse, parent, child or sibling, whether by blood or marriage) of the Promoter and of Luxutte are not eligible to enter or to receive a Prize.

3.4 Each Instagram account shall be permitted to submit one Entry pursuant to clause 4, together with any Bonus Entries for which it separately qualifies under clause 5. The Promoter reserves the right to disqualify any Entrant found to be operating multiple accounts for the purpose of obtaining additional entries.

4. Promotion Period and Method of Entry

4.1 The Promotion Period shall commence on 21 August 2026 and shall close at 23:59 (UAE time) on 4 September 2026 (the "Closing Time"). Entries received before commencement or after the Closing Time shall not be valid and shall not be included in the Draw.

4.2 To submit a valid Entry, an Entrant shall, within the Promotion Period, complete each of the following on the relevant post published on the Platform:

  • (a) follow the account @katmaconie;
  • (b) submit a comment on the relevant post tagging one other individual ("the Nominee"); and
  • (c) state within that comment the reason the Nominee is deserving of the Prize.

4.3 An Entry that does not satisfy each of sub-clauses 4.2(a) to (c) shall be deemed invalid and shall not be included in the Draw.

4.4 By tagging a Nominee pursuant to clause 4.2(b), the Entrant warrants that the Nominee has consented to being tagged and to the processing of their Instagram username by the Promoter for the purposes of the Promotion. The Promoter accepts no liability for any dispute between an Entrant and a Nominee arising from such tagging.

5. Bonus Entries

5.1 The actions listed in the table below are optional and are not required for the submission of a valid Entry under clause 4. Completion of a Bonus Entry action shall not, of itself, constitute a valid Entry and shall be counted only in addition to a valid Entry made under clause 4.

5.2 The Promoter reserves the right to verify any claimed Bonus Entry, including confirming that a Story referred to in this clause remains published for a reasonable period, prior to its inclusion in the Draw weighting.

6. The Prize

6.1 Five Winners shall each receive one pair of footwear from the Sola flip-flop collection, in a print and size of the Winner's choice, subject to availability at the time of fulfilment.

6.2 The Prize is not transferable, is not redeemable for cash, and may not be exchanged, in whole or in part, for any other product or service, save at the sole discretion of the Promoter.

6.3 Where a Winner's requested print or size is unavailable, the Promoter may, at its sole discretion, substitute a reasonably equivalent item from the Sola collection.

6.4 The approximate retail value of each Prize is the price listed for the relevant print and size on the Promoter's website (katmaconie.com) at the time of the Draw. Prices may vary by market and currency, and the actual value is not guaranteed.

7. The Draw and Selection of Winners

7.1 Following the Closing Time, the Promoter shall conduct a random prize draw from all valid Entries, weighted in proportion to the total number of Entries (comprising the base Entry under clause 4 and any Bonus Entries under clause 5) attributable to each Entrant, using Gleam.io.

7.2 Five Winners shall be selected in the manner described in clause 7.1.

7.3 The Draw shall be conducted in the presence of an independent witness registered with the Dubai Department of Economy and Tourism ("Dubai DED"), as required for a prize draw of this nature.

7.4 The Draw shall take place within five (5) business days following the Closing Time, and the Winners shall be announced promptly thereafter in a post published on the Platform.

8. Notification and Claiming of the Prize

8.1 Each Winner shall be notified by being tagged in the announcement post referred to in clause 7.4 and, where practicable, by direct message on the Platform.

8.2 A Winner shall provide delivery details to the Promoter within seven (7) days of notification. Where a Winner fails to respond within this period, the Prize shall be deemed forfeited, and the Promoter may select an alternate Winner from the remaining valid Entries in accordance with the method described in clause 7.1.

8.3 The Promoter may require a Winner to verify their identity and continued eligibility under clause 3 as a condition of release of the Prize.

9. Publicity

9.1 By submitting an Entry, each Entrant grants to the Promoter a worldwide, royalty-free, irrevocable, perpetual, sub-licensable licence to use, reproduce, modify and display their Instagram username, profile image, and the content of their Entry (including any comment submitted pursuant to clause 4.2(c)) across the Promoter's social media channels, website, email marketing, and promotional materials, without further compensation, notification, or approval, save where prohibited by applicable law.

9.2 A Winner may, but shall not be obliged to, publish their own content depicting receipt of the Prize.

10. Instagram Disclaimer

The Promotion is in no way sponsored, endorsed, administered by, or associated with Instagram or Meta Platforms, Inc. Information provided by an Entrant is provided to the Promoter and not to Instagram. Any query, complaint or claim arising from the Promotion shall be directed to the Promoter at the contact details set out above, and not to Instagram.

11. Data Protection

11.1 The Promoter, together with its service provider Gleam.io, shall process the Instagram usernames, comments and any delivery details submitted by Entrants and Winners solely for the purposes of administering the Draw, notifying Winners and fulfilling the Prize.

11.2 Such personal data shall be processed in accordance with the Promoter's Privacy Policy, which is incorporated into these Rules by reference.

11.3 Personal data shall be retained only for so long as is necessary to administer the Promotion, fulfil the Prize and satisfy any applicable regulatory record-keeping requirement, and shall thereafter be deleted.

12. Disqualification and Fraud

12.1 The Promoter reserves the right, at its sole discretion, to disqualify any Entrant who:

  • (a) tampers or attempts to tamper with the entry process, the Draw, or the operation of the Promotion;
  • (b) submits an Entry containing content that is offensive, defamatory, discriminatory, or otherwise objectionable;
  • (c) uses automated means (including bots, scripts, or third-party services) to generate Entries or Bonus Entries;
  • (d) acts in a manner that is unsportsmanlike, disruptive, or intended to undermine the integrity of the Promotion; or
  • (e) violates any provision of these Rules.

12.2 Where the Promoter reasonably suspects that the integrity of the Promotion has been compromised by fraud, technical failure, or any cause beyond the Promoter's reasonable control, the Promoter may, at its sole discretion, void affected Entries, suspend the Promotion, or take such other action as it deems appropriate.

13. Tax Liability

13.1 Each Winner is solely responsible for any tax, duty, or levy arising from or in connection with the receipt, use, or enjoyment of the Prize, including income tax, goods and services tax, import duty, or customs charges applicable in the Winner's jurisdiction of residence.

13.2 The Promoter shall not be responsible for advising Winners on their tax obligations and recommends that Winners seek independent professional advice.

14. General

14.1 The Promoter reserves the right, at its sole discretion, to amend these Rules or to cancel, suspend or postpone the Promotion in whole or in part where circumstances beyond its reasonable control so require, including technical failure of the Platform or of Gleam.io, or a change in applicable law. Any material amendment shall be published on the Platform.

14.2 To the fullest extent permitted by applicable law, the Promoter and its affiliates, directors, employees, agents, and service providers (including Gleam.io, Instagram, and Meta Platforms, Inc.) shall not be liable for any loss, damage, injury, cost, or expense (whether direct, indirect, incidental, or consequential) arising out of or in connection with:

  • (a) an Entrant's participation in the Promotion;
  • (b) the acceptance, possession, use, or misuse of the Prize;
  • (c) any technical malfunction, error, omission, interruption, or delay in the operation of the Platform or Gleam.io; or
  • (d) any failure of the Prize to conform to expectation,

save to the extent such liability cannot lawfully be excluded.

14.3 These Rules are supplemental to, and shall be read together with, the Promoter's general Terms and Conditions and Privacy Policy, which shall continue to apply.

14.4 These Rules, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Rules shall be referred to and finally resolved by the courts of the Emirate of Dubai, UAE.

15. Indemnification

15.1 By submitting an Entry, each Entrant agrees to indemnify and hold harmless the Promoter, its affiliates, directors, employees, agents, and service providers from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • (a) the Entrant's breach of these Rules;
  • (b) the Entrant's violation of any applicable law; or
  • (c) any dispute between the Entrant and a tagged Nominee.

16. Severability

16.1 If any provision of these Rules is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed from these Rules, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

17.1 These Rules, together with the Promoter's general Terms and Conditions and Privacy Policy, constitute the entire agreement between the Promoter and each Entrant in relation to the Promotion and supersede all prior representations, communications, and agreements (whether written or oral) relating thereto.
